1. General Provisions and Moment of Acceptance
1.1. This Agreement is concluded by providing the Client's full and unconditional consent (acceptance) to the conclusion of the Agreement in full, without signing a written copy.
1.2. Acceptance of this Offer is considered to be the performance by the Client of at least one of the following actions:
- Payment for the Lawyer's services based on the issued invoice;
- Filling out and submitting the electronic application form on the website korshun-lawyer.com.ua with a mark of consent to the terms of this Offer.

2. Subject of the Agreement
2.1. The Lawyer undertakes to provide legal assistance (legal services) to the Client, and the Client undertakes to pay for them.
2.2. Legal assistance includes, but is not limited to: assistance and participation in negotiations before concluding a foreign economic contract on behalf of the Client; conducting negotiations in Ukrainian, English, and Italian; consulting on issues of foreign economic activity (FEA) and currency legislation of Ukraine; analyzing existing FEA contracts for legal risks; developing draft FEA contracts; drafting bilingual FEA contracts (Ukrainian-English, Ukrainian-Italian); analyzing and preparing procedural documents for representation; and representing the Client's interests in the International Commercial Arbitration Court at the Chamber of Commerce and Industry of Ukraine (ICAC at the UCCI).
2.3. Disclaimer: In accordance with the Rules of Lawyer Ethics, the Lawyer does not give any guarantees or assurances to the Client regarding the achievement of a specific positive result in resolving a judicial, arbitration, or administrative dispute. Decisions are made by independent bodies (courts, arbitrators, state authorities). The Lawyer guarantees only the provision of qualified services in accordance with the requirements of current legislation.

3. Procedure for service provision
3.1. The specific scope, terms, and format of the services (written opinion, online oral consultation, representation, or offline consultation at a location pre-agreed between the Client and the Lawyer) are additionally agreed upon by the Parties through email correspondence or messengers (Telegram, Viber, WhatsApp, etc.) using the phone numbers specified in the details of the Provider and the Client, or the Lawyer's business phone. Such messages are recognized by the parties as official correspondence and have the legal force of confirming the reached agreements based on the Client's initial inquiry.
3.2. The Client is obliged to provide the Lawyer in a timely and full manner with all documents and information necessary to fulfill the assignment. The Lawyer is not responsible for consequences caused by the Client providing inaccurate or incomplete information.

4. Cost of Services and Payment Procedure
4.1. The cost of services is determined individually or in accordance with the base rates indicated on the Website and is fixed in the invoice sent to the Client. In the case of a complex of services provided over a certain period, the cost may be determined in a separate Legal Services Agreement signed between the Client and the Lawyer.
4.2. Payment is made in non-cash form by transferring funds to the Lawyer's (Sole Proprietor) bank account.
4.3. If the cost of services in the invoice is indicated in a foreign currency (EUR/USD), payment within Ukraine is made in the national currency (hryvnia) at the exchange rate set by the Provider's (Lawyer's) bank on the day of invoicing (or at the official NBU rate, if explicitly agreed by the parties). For non-residents, payment is possible in the invoice currency via SWIFT transfer in accordance with the current legislation of Ukraine.
4.4. Services are provided on a 100% prepayment basis unless otherwise specified in the issued invoice, a separate appendix to this Agreement, or a Legal Services Agreement signed between the Client and the Lawyer. In the case of complex services (FEA support, development of document packages, etc.), the parties may agree on step-by-step payment, which is fixed in the invoice and/or in the Legal Services Agreement.

5. Deadlines and Commencement of Work
5.1. The Provider begins performance of the services within 2 (two) working days from the moment the Client fulfills the following conditions collectively:
- Receipt of the full prepayment amount to the Provider's account;
- Provision by the Client of all necessary initial data, documents, and completed briefs required for the service provision.
5.2. The deadline for providing a specific service (e.g., preparation of an FEA contract) is specified in the invoice or agreed upon by the parties via email or messengers (Telegram, Viber, WhatsApp, etc.) using the phone numbers in the details or the Lawyer's business phone, or in the Legal Services Agreement. Such messages are recognized by the parties as official correspondence.
5.3. All other essential terms of the Agreement (except for the deadline) provided by the current legislation of Ukraine, necessary for Agreements of this type and required by each of the Parties, will be agreed upon by the Parties in the Legal Services Agreement (in case of providing a complex

6. Refund Policy
6.1. The Client has the right to terminate this Agreement and demand a refund of paid funds provided that the Lawyer has not yet commenced the actual provision of services (the oral consultation has not started, the analysis of documents provided by the Client has not begun, etc.).
6.2. In case of early termination of the Agreement at the initiative of the Client after the Lawyer has commenced work, the funds are subject to refund minus the cost of the time actually spent by the Lawyer and expenses incurred. The cost of time spent is calculated based on the Lawyer's base hourly rate.
6.3. If the service has been provided in full (oral consultation provided, drafted document/lawsuit submitted), the funds are non-refundable. The Client's subjective disagreement with the Lawyer's conclusions based on the law is not grounds for a refund.
6.4. To initiate a refund, the Client must send a written request to the email address yourlawyer.korshun@gmail.com. The request processing time is up to 14 working days. Refunds are made exclusively to the same bank details from which the payment was made.

7. Confidentiality and lawyer-client privilege
7.1. Any information and documents received by the Lawyer from the Client in connection with the performance of this Agreement are subject to lawyer-client privilege in accordance with Art. 22 of the Law of Ukraine "On the Bar and Practice of Law".
7.2. The Lawyer undertakes not to disclose information without the Client's explicit consent, except in cases directly provided by law.

8. Force Majeure
8.1. The Parties are released from liability for partial or full non-performance of obligations under this Agreement if such non-performance is a consequence of force majeure circumstances that arose after the conclusion of the Agreement, which the Parties could not foresee or prevent.
8.2. Such circumstances include, but are not limited to: military actions (declared or undeclared), acts of terrorism, sabotage, prolonged power outages (blackouts), lack of stable Internet access, technical failures or restrictions in the operation of state registers, electronic judicial systems, banking systems, as well as the adoption of regulatory acts that make the fulfillment of obligations impossible.
8.3. The Party for which the fulfillment of obligations has become impossible must, within 3 (three) working days, notify the other Party about the commencement and (after completion) the termination of such circumstances by any available means of communication (including messengers).
8.4. Sufficient confirmation of force majeure circumstances is a certificate from the CCI of Ukraine, or official statements of state authorities, or well-known facts covered in the media.

This Agreement is a public offer by the Sole Proprietor Korshun Yulia Volodymyrivna, acting on the basis of EDR entry No. 2000650000000076023 dated 07.05.2025 and conducting independent professional activity based on the Certificate of the right to practice law No. 6411/10 dated 15.02.2018 (hereinafter – "Lawyer"), to conclude a legal assistance agreement with any individual or legal entity (hereinafter – "Client") that accepts this offer on the terms set out below.
